Client Material:
The client represents and hereby indemnifies from any claim by a third party for breach of their intellectual property rights related to the materials that the client has provided to Spokesperson Agency.com. Any material submitted by the client, including text, graphics, scripts or otherwise, incorporated into any spokesperson video or other product to be created by Spokesperson Agency.com is the client's sole and exclusive property and the client owns any and all copyrights, trade-marks, or any other intellectual property rights for said material. The client agrees to pay all damages, costs, disbursement and other claims, including legal fees, incurred by Spokesperson Agency.com arising from any such third party claim.
Limitation of Liability:
Spokesperson Agency.com, its officers, directors, employees, partners or suppliers will not be liable to the client or any third party for any damages or losses of any kind, including those resulting from loss of use, data or profits. SpokespersonAgency.com is not liable for any 3rd party litigation for any reason.
If our service is not available on a client's website due to server issues, we require 48 hours to reinstate service without liability for claims of lost revenues.
Deposit:
Upon agreement to move forward with the SpokespersonAgency.com project, client agrees to pay a deposit of half of the full amount of the project.
Ownership of Video:
SpokespersonAgency.com retains proprietary rights to all elements to include but not limited to video and programming regardless of where said files reside. A client can buy out ownership of the aforementioned elements with written authorization from SpokespersonAgency.com. This is in addition to the fee for the SpokespersonAgency.com service.
